Terms of Service for Rendra

1. Agreement to Terms

By installing, accessing, or using Rendra (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

These Terms constitute a legally binding agreement between you (the "Merchant" or "you") and Rendra AI ("we", "us", or "our").

2. Description of Service

Rendra is a Shopify app that uses artificial intelligence to generate professional model photos from your product images. The App allows you to:

• Upload or select product images from your Shopify store
• Choose model styles and background settings
• Generate AI-powered model images featuring your products
• Publish generated images to your Shopify product pages

3. Account and Installation

3.1 Eligibility

You must:

• Be at least 18 years old
• Have a valid Shopify store
• Have the authority to bind your business to these Terms
• Provide accurate information during installation

3.2 Account Security

You are responsible for:

• Maintaining the security of your Shopify account
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 One Account Per Store

Each Rendra account is tied to one Shopify store. You may not share accounts across multiple stores.

4. Credit-Based Billing

4.1 How Credits Work

• Each image generation consumes 1 credit
• Credits are deducted only upon successful generation
• Failed generations do not consume credits
• Credits do not expire while the App is installed

4.2 Free Trial

• New users receive 5 free credits upon installation
• Free trial credits generate full-quality images with no watermark
• No credit card required for the free trial
• Free trial is limited to one per Shopify store

4.3 Paid Credits (Coming Soon)

• Paid credit packs will be available in the future
• Pricing will be clearly displayed before purchase
• All charges will be processed through Shopify's billing system
• Credits are non-refundable once purchased

4.4 No Automatic Charges

• We do not automatically charge for additional credits
• You must manually purchase additional credits when needed
• You will receive clear notification when credits are low

5. Acceptable Use

5.1 Permitted Use

You may use Rendra to:

• Generate model images for your Shopify products
• Publish generated images on your store
• Use generated images in your marketing and advertising
• Create images for commercial purposes related to your business

5.2 Prohibited Content

You may not use Rendra to generate images containing:

• Illegal content or activities
• Explicit sexual content or nudity
• Hate speech, violence, or harassment
• Content that infringes third-party intellectual property rights
• Misleading or fraudulent product representations
• Content that violates Shopify's Acceptable Use Policy

5.3 Content Moderation

We reserve the right to:

• Refuse to generate any image for any reason
• Remove generated images that violate these Terms
• Suspend or terminate accounts that violate these Terms
• Report illegal content to appropriate authorities

6. AI-Generated Content and Disclaimers

6.1 AI Technology

Rendra uses third-party artificial intelligence services to generate images. AI-generated content is:

• Created algorithmically based on your inputs
• Not guaranteed to be perfect or exactly as expected
• Subject to limitations of current AI technology
• Improving continuously but may contain imperfections

6.2 No Guarantees

We do not guarantee that:

• Generated images will meet your exact expectations
• All generations will be successful
• Images will be free from artifacts or imperfections
• Results will be identical across multiple generations
• Generated images will increase sales or conversions

6.3 Merchant Responsibility

You are responsible for:

• Reviewing all generated images before publishing
• Ensuring published images accurately represent your products
• Compliance with advertising and consumer protection laws
• Any claims or disputes arising from your use of generated images

7. Intellectual Property and Ownership

7.1 Your Original Content

You retain all rights to:

• Your original product images
• Your Shopify store content
• Your brand and trademarks

7.2 Generated Images

You own the generated images created by Rendra for your products.

• Generated images are your property
• You may use them for any legal commercial purpose
• You may modify, edit, or delete them at any time
• You may publish them to your store or use in marketing

7.3 Our Technology

We retain all rights to:

• The Rendra app and its code
• Our AI models and prompts (where applicable)
• Our trademarks and branding
• All improvements and updates to the App

7.4 License to Process

By using the App, you grant us a limited license to:

• Process your product images to generate model images
• Store generated images on your behalf
• Use aggregated, anonymized data to improve the App

8. Original Product Images

• Original images in your Shopify store remain unchanged
• Generated images are created as separate, new files
• You choose which images to publish
• Deleting generated images does not affect originals

9. Limitation of Liability

9.1 Service Provided "As Is"

The App is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free service

9.2 Limitation of Damages

To the maximum extent permitted by law, we shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from use or inability to use the App
• Damages resulting from generated images or their use
• Any damages exceeding the amount you paid us in the past 12 months

9.3 Maximum Liability

Our total liability for all claims related to the App shall not exceed the greater of:

• $100 USD, or
• The amount you paid us in the 12 months before the claim

9.4 State Law Variations

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Rendra AI, its affiliates, and their respective officers, directors, and employees from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Your generated images and their publication or use
• Any content you submit to the App

11. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

• We collect minimal data necessary to provide the service
• We use third-party AI providers to generate images
• We do not sell your data
• You can request data deletion at any time

12. Modifications and Updates

12.1 Changes to Terms

We may update these Terms from time to time. When we do:

• We will update the "Last Updated" date
• Significant changes will be communicated via email or app notification
• Continued use after changes constitutes acceptance

12.2 Changes to App

We may:

• Add, modify, or remove features
• Change credit pricing (with advance notice)
• Update AI models and generation technology
• Perform maintenance or updates

We will provide reasonable notice for material changes affecting your use.

13. Termination

13.1 Termination by You

You may terminate your use of the App at any time by:

• Uninstalling the App from your Shopify store
• Contacting us to request account closure

13.2 Termination by Us

We may suspend or terminate your access if:

• You violate these Terms
• You engage in fraudulent activity
• You abuse the service or use it for prohibited purposes
• Required by law or Shopify policy

13.3 Effect of Termination

Upon termination:

• Your access to the App will cease
• Generated images will be deleted within 30 days (unless you request immediate deletion)
• Unused credits are forfeited (no refunds)
• You remain responsible for any outstanding obligations

13.4 Data After Termination

You may request:

• Export of your generated images before deletion
• Immediate deletion of all your data
• Copy of your account data

14. Compliance with Shopify

14.1 Shopify Terms

Your use of Rendra must comply with:

• Shopify's Terms of Service
• Shopify Partner Program Agreement
• Shopify App Store requirements
• Shopify's Acceptable Use Policy

14.2 Integration

Rendra integrates with Shopify through official APIs. Any changes to Shopify's platform may affect the App's functionality.

15. Third-Party Services

15.1 AI Providers

We use third-party AI services (primarily KIE.AI) to generate images. Their use is subject to their respective terms of service.

15.2 No Third-Party Liability

We are not responsible for:

• Actions or omissions of third-party service providers
• Changes to third-party services
• Third-party service outages or errors

16. Dispute Resolution

16.1 Informal Resolution

Before filing a claim, please contact us at hello@rendra-ai.com to resolve the issue informally. We commit to working with you in good faith to resolve disputes.

16.2 Governing Law

These Terms are governed by the laws of the United States and the state in which Rendra AI is registered, without regard to conflict of law principles.

16.3 Jurisdiction

You agree that any legal action or proceeding related to these Terms shall be brought exclusively in the federal or state courts located in the United States, and you consent to the jurisdiction of such courts.

16.4 Arbitration (Optional)

For disputes that cannot be resolved informally, we may offer binding arbitration as an alternative to litigation, at our discretion.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rendra AI regarding the App.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

17.3 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet service disruptions.

17.6 Survival

Provisions that by their nature should survive termination (including ownership, warranties, indemnification, and limitations of liability) will survive termination of these Terms.
